Affiliate Agreement

These Affiliate Terms (“Affiliate Terms”) govern your participation as an affiliate on the Kinu platform and form part of the agreement between you and [Kinu Africa Limited], a company incorporated under the laws of [Tanzania / insert jurisdiction] with registered office at [insert address] (“Kinu”, “we”, “us”, or “our”).

These Affiliate Terms must be read together with the Kinu Terms of Use, Privacy Notice, Acceptable Use Policy, and any campaign rules, payout rules, or platform policies issued by Kinu from time to time. In the event of conflict, these Affiliate Terms prevail in relation to affiliate participation.

By applying to join, clicking acceptance, using an affiliate link, accessing your affiliate dashboard, promoting any product through Kinu, or receiving or attempting to receive any commission through Kinu, you agree to be bound by these Affiliate Terms.

1. Purpose of Kinu Affiliate Program

Kinu operates an affiliate program through which approved affiliates may promote eligible digital products offered by vendors on the Kinu platform and may earn commissions for valid, attributable, compliant, and approved transactions.

Kinu provides tracking, attribution, platform administration, payout support, fraud controls, and related infrastructure. Unless Kinu expressly states otherwise in writing, Kinu is not your employer, agent, partner, or fiduciary, and does not guarantee that any affiliate will earn income or that any vendor campaign will remain live, profitable, or available.

2. Eligibility

You may participate as an affiliate only if:

  • you are at least 18 years old and legally capable of entering a binding contract;
  • you have completed all onboarding information requested by Kinu;
  • you have provided accurate and complete personal, business, and payout information;
  • you are not prohibited from participating under any applicable law, sanctions rule, regulatory restriction, or Kinu risk rule; and
  • you pass any identity, business, fraud, tax, KYC, KYB, sanctions, or other compliance checks that Kinu or its service providers require.

Kinu may accept or reject any affiliate application in its sole discretion.

3. Affiliate Account

You must create and maintain an affiliate account with accurate, complete, and current information, including:

  • your legal name or business name;
  • your country of residence or incorporation;
  • your tax information where requested;
  • your bank, wallet, or mobile money payout details;
  • your phone number and email address; and
  • details of your promotion channels when requested.

You are responsible for all activity under your account and for keeping your login credentials secure.

You must notify Kinu immediately if you suspect unauthorized access, identity compromise, payment redirection, or any other security issue affecting your account.

4. Electronic Contracting and Communications

You agree that:

  • your acceptance of these Affiliate Terms may be made electronically;
  • electronic records, platform logs, click records, IP/device records, attribution records, payout records, support messages, and related system records may be used as evidence of your instructions, participation, and activity;
  • Kinu may provide notices, policy changes, statements, payout notices, compliance requests, and other communications electronically, including by email, dashboard notice, SMS, WhatsApp, or other supported channel; and
  • your continued use of the platform after notice of changes may constitute acceptance of updated terms where permitted by law.

5. Non-Exclusive Participation

Your participation in the Kinu affiliate program is non-exclusive. Kinu may approve multiple affiliates for the same vendor or product, and vendors may promote their own products directly or through other channels.

No affiliate has any exclusive right to traffic, territory, keyword set, channel, niche, audience, or campaign unless Kinu expressly confirms such exclusivity in writing.

6. Approval to Promote Products

Not every affiliate may promote every product.

Kinu, a vendor, or both may approve, deny, suspend, or revoke your right to promote any product, vendor, offer, funnel, checkout, or campaign at any time, with or without prior notice, where reasonably necessary to protect consumers, platform integrity, compliance, or commercial quality.

Your approval to promote one vendor or product does not mean you are approved for all vendors or products.

7. Affiliate Links and Attribution

7.1 Affiliate Links

Kinu may provide you with one or more affiliate links, IDs, tracking codes, promo codes, referral URLs, or other attribution tools (“Affiliate Links”).

You may use Affiliate Links only:

  • in the formats authorized by Kinu;
  • for approved products or campaigns;
  • on channels that comply with these Affiliate Terms and all applicable laws; and
  • in a manner that preserves Kinu’s ability to track valid referral activity.

7.2 Attribution

A commission is earned only where Kinu determines, using its records, that a transaction is properly attributable to your approved promotional activity under the applicable campaign rules.

Kinu’s records on clicks, cookies, referral IDs, URL parameters, device information, timestamps, attribution windows, coupon codes, lead paths, and checkout activity shall be prima facie evidence of attribution.

Kinu may reject, reassign, or reverse attribution where traffic or transactions are duplicated, manipulated, non-compliant, fraudulent, or otherwise invalid.

7.3 No Guarantee of Attribution

Kinu does not guarantee that every click, visit, lead, or sale will be attributed to you. Attribution can be affected by device switching, browser settings, cookie restrictions, ad blockers, privacy tools, app-to-browser transitions, direct return visits, platform outages, last-click rules, coupon overwrite rules, vendor settings, and other technical or policy factors.

8. Commissions

8.1 Commission Basis

Your commission rate, commission type, and commission conditions will be shown in the relevant campaign details, product details, insertion terms, affiliate offer page, or other campaign-specific rules made available through Kinu.

Commission structures may include:

  • percentage of sale value;
  • flat amount per sale;
  • recurring commission;
  • tiered commission;
  • hybrid commission; or
  • any other structure specified by Kinu or the vendor.

8.2 No Commission Until Approved

A commission is not final, vested, payable, or withdrawable merely because a sale appears in your dashboard.

All commissions are subject to approval and may remain in pending status until Kinu is satisfied that the transaction is valid, settled, compliant, not refunded, not charged back, and not subject to fraud or other review.

8.3 Adjustments

Kinu may adjust commissions to correct:

  • pricing errors;
  • duplicate crediting;
  • tax treatment corrections;
  • partial refunds;
  • multi-item order allocation issues;
  • currency conversion issues;
  • settlement shortfalls; or
  • manifest system error.

9. Invalid, Prohibited, or Reversible Commissions

You are not entitled to any commission arising from any of the following, whether attempted by you, by a customer, by a vendor, or by a third party:

  • self-referrals or purchases made through your own Affiliate Link;
  • purchases made by your spouse, household, employee, nominee, partner, related party, or controlled account for the purpose of generating commission;
  • fake orders, test orders not approved by Kinu, or simulated transactions;
  • stolen cards, unauthorized mobile money use, fraudulent instruments, identity theft, or chargeback-prone activity;
  • deceptive redirects, forced clicks, cookie stuffing, click injection, adware, malware, spyware, toolbar overwrite, iframe hijacking, script manipulation, or hidden attribution tactics;
  • incentivized transactions that violate campaign rules;
  • transactions generated through prohibited keywords, prohibited channels, or prohibited creatives;
  • transactions later refunded, charged back, reversed, disputed, cancelled, or not finally settled;
  • transactions arising from misleading, unlawful, or non-compliant promotion; or
  • any transaction that Kinu determines, acting reasonably, should not attract a commission.

Kinu may reverse, claw back, withhold, set off, or permanently disallow such commissions.

10. Payouts, Holds, Reserves, and Set-Off

10.1 Payout Methods

Approved commissions may be paid by one or more methods supported by Kinu, including bank transfer, mobile money, wallet transfer, or other payout channels.

Kinu may change supported payout methods at any time.

10.2 Payout Conditions

Before payout, Kinu may require:

  • completed KYC or KYB verification;
  • tax information;
  • sanctions screening;
  • proof of ownership of payout account, wallet, or mobile number;
  • proof of source of funds or source of traffic;
  • supporting documentation for traffic channels or promotions;
  • proof of compliance with campaign rules; or
  • any other information reasonably required for compliance, fraud review, or operational verification.

10.3 Holds and Rolling Reserves

Kinu may place a hold, reserve, delayed release, rolling reserve, payout threshold, or temporary freeze on any affiliate account or payout where reasonably necessary due to:

  • refunds or chargeback risk;
  • fraud signals;
  • unusual traffic or conversion patterns;
  • missing KYC or incomplete compliance;
  • customer complaints;
  • vendor complaints;
  • legal, tax, regulatory, or payment-provider requirements;
  • cross-border settlement delays; or
  • investigation of suspicious activity.

10.4 Set-Off

Kinu may set off any amounts owed by you to Kinu, a vendor, a payment provider, or a customer against commissions or other amounts otherwise payable to you, including where the set-off relates to chargebacks, refunds, fraud losses, penalties, compliance costs, or indemnity claims.

10.5 Timing

Payout times are estimates only. Kinu does not guarantee same-day or instant withdrawal. Payout timing may depend on settlement cycles, processor timelines, mobile money availability, banking cutoffs, cross-border conversion, compliance review, weekends, and public holidays.

11. Taxes

You are solely responsible for determining, reporting, filing, withholding, and paying any taxes, levies, duties, fees, or similar charges arising from your affiliate activity, except to the extent Kinu is required by law to deduct, withhold, remit, or report amounts.

Kinu may request tax forms, taxpayer identification details, residency information, or other tax-related documents before processing payouts.

If Kinu is required by law or competent authority to withhold, deduct, report, or freeze any amount, Kinu may do so without liability to you.

12. Affiliate Conduct Standards

You must promote products lawfully, honestly, and in a way that protects customers, vendors, and Kinu.

You must not:

  • make false, misleading, deceptive, aggressive, or unsubstantiated claims;
  • misstate the product price, features, bonuses, refund policy, scarcity, expiry date, or earnings potential;
  • claim to be the vendor, Kinu, or an official representative unless expressly authorized;
  • impersonate or create confusion with a brand, domain, social handle, or page;
  • mislead users into believing content is editorial, neutral, or personal if it is sponsored promotion;
  • use unlawful fear tactics, fake countdowns, fake testimonials, fake receipts, fake reviews, or fabricated case studies;
  • omit material disclaimers required by law or platform policy;
  • route users through deceptive bridges or bait-and-switch landing pages; or
  • use Kinu to conduct or facilitate fraud, harassment, abuse, scams, or unlawful enrichment.

13. Advertising Compliance and Required Disclosures

You must comply with all applicable laws, regulations, platform rules, ad network rules, search engine rules, social media rules, messaging rules, and consumer protection requirements applicable to your traffic source and target market.

Without limiting the above:

  • you must clearly disclose that you may earn a commission where such disclosure is legally or commercially required;
  • you must not send unsolicited bulk messages, unlawful telemarketing, unlawful SMS campaigns, or other prohibited electronic marketing;
  • where you advertise price or offer terms, you must not hide material charges, conditions, or important limitations;
  • where you use testimonials or endorsements, they must be genuine, lawfully obtained, and not misleading; and
  • where you make comparative claims, earnings claims, health claims, or performance claims, they must be lawful, properly substantiated, and expressly permitted by the vendor and Kinu.

14. Prohibited Traffic Sources and Promotion Methods

Unless Kinu expressly approves otherwise in writing, you must not use any of the following:

  • spam email;
  • unsolicited SMS, WhatsApp, Telegram, or DM blasts;
  • purchased or scraped contact lists;
  • robocalls or unauthorized telemarketing;
  • malware, spyware, adware, browser extensions that force traffic, or notification spam;
  • cookie stuffing, pop-unders, hidden frames, forced redirects, or automatic clicks;
  • fake news-style advertorials or deceptive native ads;
  • adult traffic, hate traffic, violent traffic, pirated-content traffic, or illegal streaming traffic;
  • traffic from websites or channels that infringe intellectual property or violate law;
  • brand impersonation pages;
  • paid search bidding on restricted brand terms where disallowed by campaign rules;
  • fake coupons, fake voucher pages, or unauthorized discount claims;
  • incentivized traffic where the user’s primary purpose is to obtain rewards rather than genuinely consider the offer;
  • bots, click farms, device farms, reward loops, or artificial engagement systems; or
  • any source Kinu determines to be low quality, unsafe, deceptive, or reputationally harmful.

15. Social Media, Messaging Apps, and Community Promotion

Because Kinu is intended for mobile-first African commerce, affiliates may be permitted to promote through channels such as WhatsApp, Telegram, Instagram, TikTok, Facebook, X, YouTube, blogs, and community groups, but only if such promotion:

  • complies with these Affiliate Terms;
  • complies with the rules of the relevant platform or messaging service;
  • does not involve spam, harassment, scraping, or deceptive outreach;
  • clearly identifies the commercial nature of the message where required; and
  • does not misrepresent the identity of the sender or the nature of the offer.

Kinu may impose channel-specific restrictions at any time.

16. Content Standards

All content you publish, distribute, or use in connection with Kinu must be lawful and must not contain or promote:

  • pornography or sexually exploitative material;
  • child sexual abuse material or any exploitative content involving minors;
  • hate speech or discriminatory abuse;
  • incitement to violence or illegal conduct;
  • unlawful gambling;
  • illegal drugs or controlled substances;
  • unlawful financial, investment, or lending solicitations;
  • pirated, counterfeit, or infringing content;
  • deceptive “get rich quick” or unlawful income schemes;
  • unlawful medical, therapeutic, or health claims; or
  • any content likely to bring Kinu, its vendors, users, payment partners, or regulators into disrepute.

17. Vendor Materials and Intellectual Property

Kinu or the vendor may provide you with approved brand assets, creatives, copy, logos, screenshots, videos, banners, or other materials (“Vendor Materials”).

You may use Vendor Materials only:

  • in the form approved;
  • for the approved campaign;
  • during the period your affiliate approval remains active; and
  • in compliance with brand rules and campaign restrictions.

You must not alter Vendor Materials in a misleading way, remove disclaimers, create confusing derivative branding, register confusingly similar domain names or handles, or imply sponsorship, endorsement, employment, or partnership that does not exist.

All rights in Kinu branding and Vendor Materials remain with Kinu or the relevant vendor or licensor.

18. Your Content and Licence to Kinu

You retain ownership of the content you create and lawfully upload to Kinu, such as your profile information, channel information, support submissions, and promotional creatives you independently create (“Affiliate Content”).

You grant Kinu a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, review, display, analyze, and use Affiliate Content to:

  • operate the affiliate program;
  • verify compliance;
  • investigate fraud or disputes;
  • support vendors;
  • improve the platform; and
  • comply with legal or regulatory obligations.

You represent and warrant that your Affiliate Content is accurate, lawful, non-infringing, and that you have all rights necessary to use it.

19. Data Protection and Privacy

You must comply with all applicable data protection and privacy laws in relation to any personal data you collect, receive, use, disclose, or process in connection with affiliate activity.

Without limiting the above:

  • you must not collect or process personal data unlawfully or unfairly;
  • you must not upload unnecessary personal data to Kinu;
  • you must not process sensitive personal data unless lawful, necessary, and properly protected;
  • you must provide any required privacy notices to the individuals whose data you collect;
  • you must obtain valid consent where consent is the lawful basis you rely on;
  • you must implement appropriate security measures for personal data under your control; and
  • you must cooperate with Kinu where any data complaint, access request, correction request, erasure request, or regulatory inquiry concerns your affiliate activity.

Where you independently collect leads or customer data before redirecting users to Kinu, you act as an independent controller for that data unless Kinu expressly agrees otherwise in writing.

20. KYC, AML, Sanctions, and Fraud Controls

Kinu may require identity verification, business verification, beneficial ownership information, source-of-funds information, source-of-traffic information, sanctions screening, enhanced due diligence, or other compliance information before onboarding you, approving campaigns, or releasing payouts.

You must not:

  • use false, fictitious, disguised, anonymous, or nominee identities;
  • conceal beneficial ownership;
  • route commissions through third parties to evade compliance;
  • assist money laundering, terrorist financing, sanctions evasion, or fraud; or
  • refuse reasonable compliance requests while continuing to demand payout.

Kinu may suspend your account, hold your balance, refuse payout, reverse transactions, or report suspicious activity where legally required or reasonably necessary.

21. Complaints, Chargebacks, Refunds, and Investigations

If a customer complaint, chargeback, refund request, fraud alert, vendor complaint, or regulatory issue arises in connection with your traffic or promotion, you must cooperate fully and promptly with Kinu.

Kinu may request:

  • copies of ads, landing pages, scripts, messages, or creatives;
  • proof of consent for messages;
  • evidence of disclosure wording;
  • source-of-traffic records;
  • audience targeting details;
  • campaign logs; or
  • any other information relevant to the investigation.

Failure to cooperate may result in suspension, reversal of commissions, or termination.

22. Suspension and Termination

Kinu may suspend, restrict, or terminate your affiliate account, campaign approvals, tracking access, or payout rights immediately where:

  • you breach these Affiliate Terms or any related policy;
  • you engage in prohibited traffic or prohibited claims;
  • your activity creates fraud, compliance, reputational, or financial risk;
  • your verification is incomplete or unsatisfactory;
  • a regulator, court, payment partner, vendor, or law enforcement agency requires action;
  • your account appears compromised or controlled by an unauthorized person; or
  • Kinu reasonably believes continued participation is not in the interests of the platform.

You may stop participating at any time by ceasing promotion and closing your account, but termination does not remove liability for prior breaches, reversals, clawbacks, or ongoing investigations.

23. Effect of Termination

Upon suspension or termination:

  • your right to promote products through Kinu ends immediately;
  • you must stop using all Affiliate Links, Vendor Materials, Kinu branding, and campaign materials;
  • Kinu may deactivate tracking connected to your account;
  • Kinu may continue to hold or offset balances for a reasonable period to cover disputes, refunds, chargebacks, fraud reviews, indemnity claims, tax issues, or legal requirements; and
  • commissions not yet approved at the time of termination may be denied where the underlying transactions are not fully verified and settled.

24. Confidentiality

You must keep confidential any non-public information obtained through Kinu or from vendors, including campaign economics, conversion data, payout data, customer information, internal policies, fraud rules, and technical or commercial information.

You must not use confidential information except as necessary for lawful participation in the affiliate program.

This clause survives termination.

25. Disclaimers

Kinu provides the affiliate program on an “as is” and “as available” basis to the maximum extent permitted by law.

Kinu does not guarantee:

  • any minimum level of clicks, leads, sales, or commissions;
  • uninterrupted platform access;
  • uninterrupted availability of any campaign;
  • uninterrupted availability of any payment or payout method;
  • that any vendor will continue selling a product;
  • that any customer will complete payment;
  • that any transaction will settle without refund or chargeback; or
  • that participation in the affiliate program will produce income, profit, or business growth.

26. Limitation of Liability

To the maximum extent permitted by law, Kinu shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or reputation arising out of or related to these Affiliate Terms or your participation in the affiliate program.

To the maximum extent permitted by law, Kinu’s aggregate liability to you in connection with these Affiliate Terms shall not exceed the greater of:

  • the total commissions actually paid by Kinu to you during the six (6) months preceding the event giving rise to the claim; or
  • TZS [insert liability cap].

Nothing in these Affiliate Terms excludes liability that cannot lawfully be excluded.

27. Indemnity

You agree to indemnify and hold harmless Kinu, its affiliates, directors, officers, employees, service providers, vendors, and agents from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your breach of these Affiliate Terms;
  • your traffic sources, campaigns, messages, ads, content, or disclosures;
  • your violation of law, regulation, platform rules, or third-party rights;
  • customer complaints caused by your acts or omissions;
  • chargebacks, refunds, or fraud linked to your promotional conduct;
  • your misuse of Vendor Materials or Kinu branding; or
  • any tax claim arising from your affiliate activity.

Kinu may set off any indemnity amount against sums otherwise payable to you.

28. Changes to Affiliate Terms

Kinu may amend these Affiliate Terms from time to time. Where changes are material, Kinu will give notice by email, dashboard notification, or other reasonable electronic method.

The amended terms take effect on the date stated in the notice. Continued participation after that date constitutes acceptance of the amended terms.

29. Governing Law

These Affiliate Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.

30. Dispute Resolution

Before starting formal proceedings, a party must first send written notice of the dispute and allow at least 14 days for good-faith resolution.

If the dispute is not resolved, it shall be referred to arbitration in Dar es Salaam, Tanzania, before a single arbitrator unless the complexity or amount in dispute reasonably requires three arbitrators.

The language of arbitration shall be English.

Nothing prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

31. General

If any provision of these Affiliate Terms is held invalid or unenforceable, the remainder remains in full force.

No failure or delay by Kinu to enforce any right is a waiver.

You may not assign your rights or obligations under these Affiliate Terms without Kinu’s prior written consent. Kinu may assign these Affiliate Terms in connection with restructuring, financing, merger, acquisition, or business transfer.

These Affiliate Terms, together with the Kinu Terms of Use and incorporated policies, constitute the entire agreement between you and Kinu regarding your participation as an affiliate.
