These Affiliate Terms (“Affiliate Terms”) govern your participation as an affiliate on the Kinu platform and form part of the agreement between you and [Kinu Africa Limited], a company incorporated under the laws of [Tanzania / insert jurisdiction] with registered office at [insert address] (“Kinu”, “we”, “us”, or “our”).
These Affiliate Terms must be read together with the Kinu Terms of Use, Privacy Notice, Acceptable Use Policy, and any campaign rules, payout rules, or platform policies issued by Kinu from time to time. In the event of conflict, these Affiliate Terms prevail in relation to affiliate participation.
By applying to join, clicking acceptance, using an affiliate link, accessing your affiliate dashboard, promoting any product through Kinu, or receiving or attempting to receive any commission through Kinu, you agree to be bound by these Affiliate Terms.
Kinu operates an affiliate program through which approved affiliates may promote eligible digital products offered by vendors on the Kinu platform and may earn commissions for valid, attributable, compliant, and approved transactions.
Kinu provides tracking, attribution, platform administration, payout support, fraud controls, and related infrastructure. Unless Kinu expressly states otherwise in writing, Kinu is not your employer, agent, partner, or fiduciary, and does not guarantee that any affiliate will earn income or that any vendor campaign will remain live, profitable, or available.
You may participate as an affiliate only if:
Kinu may accept or reject any affiliate application in its sole discretion.
You must create and maintain an affiliate account with accurate, complete, and current information, including:
You are responsible for all activity under your account and for keeping your login credentials secure.
You must notify Kinu immediately if you suspect unauthorized access, identity compromise, payment redirection, or any other security issue affecting your account.
You agree that:
Your participation in the Kinu affiliate program is non-exclusive. Kinu may approve multiple affiliates for the same vendor or product, and vendors may promote their own products directly or through other channels.
No affiliate has any exclusive right to traffic, territory, keyword set, channel, niche, audience, or campaign unless Kinu expressly confirms such exclusivity in writing.
Not every affiliate may promote every product.
Kinu, a vendor, or both may approve, deny, suspend, or revoke your right to promote any product, vendor, offer, funnel, checkout, or campaign at any time, with or without prior notice, where reasonably necessary to protect consumers, platform integrity, compliance, or commercial quality.
Your approval to promote one vendor or product does not mean you are approved for all vendors or products.
7.1 Affiliate Links
Kinu may provide you with one or more affiliate links, IDs, tracking codes, promo codes, referral URLs, or other attribution tools (“Affiliate Links”).
You may use Affiliate Links only:
7.2 Attribution
A commission is earned only where Kinu determines, using its records, that a transaction is properly attributable to your approved promotional activity under the applicable campaign rules.
Kinu’s records on clicks, cookies, referral IDs, URL parameters, device information, timestamps, attribution windows, coupon codes, lead paths, and checkout activity shall be prima facie evidence of attribution.
Kinu may reject, reassign, or reverse attribution where traffic or transactions are duplicated, manipulated, non-compliant, fraudulent, or otherwise invalid.
7.3 No Guarantee of Attribution
Kinu does not guarantee that every click, visit, lead, or sale will be attributed to you. Attribution can be affected by device switching, browser settings, cookie restrictions, ad blockers, privacy tools, app-to-browser transitions, direct return visits, platform outages, last-click rules, coupon overwrite rules, vendor settings, and other technical or policy factors.
8.1 Commission Basis
Your commission rate, commission type, and commission conditions will be shown in the relevant campaign details, product details, insertion terms, affiliate offer page, or other campaign-specific rules made available through Kinu.

8.2 No Commission Until Approved
A commission is not final, vested, payable, or withdrawable merely because a sale appears in your dashboard.
All commissions are subject to approval and may remain in pending status until Kinu is satisfied that the transaction is valid, settled, compliant, not refunded, not charged back, and not subject to fraud or other review.
8.3 Adjustments
Kinu may adjust commissions to correct:
You are not entitled to any commission arising from any of the following, whether attempted by you, by a customer, by a vendor, or by a third party:
Kinu may reverse, claw back, withhold, set off, or permanently disallow such commissions.
10.1 Payout Methods
Approved commissions may be paid by one or more methods supported by Kinu, including bank transfer, mobile money, wallet transfer, or other payout channels.
Kinu may change supported payout methods at any time.
10.2 Payout Conditions
Before payout, Kinu may require:

Kinu may place a hold, reserve, delayed release, rolling reserve, payout threshold, or temporary freeze on any affiliate account or payout where reasonably necessary due to:
10.4 Set-Off
Kinu may set off any amounts owed by you to Kinu, a vendor, a payment provider, or a customer against commissions or other amounts otherwise payable to you, including where the set-off relates to chargebacks, refunds, fraud losses, penalties, compliance costs, or indemnity claims.
10.5 Timing
Payout times are estimates only. Kinu does not guarantee same-day or instant withdrawal. Payout timing may depend on settlement cycles, processor timelines, mobile money availability, banking cutoffs, cross-border conversion, compliance review, weekends, and public holidays.
You are solely responsible for determining, reporting, filing, withholding, and paying any taxes, levies, duties, fees, or similar charges arising from your affiliate activity, except to the extent Kinu is required by law to deduct, withhold, remit, or report amounts.
Kinu may request tax forms, taxpayer identification details, residency information, or other tax-related documents before processing payouts.
If Kinu is required by law or competent authority to withhold, deduct, report, or freeze any amount, Kinu may do so without liability to you.
You must promote products lawfully, honestly, and in a way that protects customers, vendors, and Kinu.
You must not:
You must comply with all applicable laws, regulations, platform rules, ad network rules, search engine rules, social media rules, messaging rules, and consumer protection requirements applicable to your traffic source and target market.
Without limiting the above:
Unless Kinu expressly approves otherwise in writing, you must not use any of the following:
Because Kinu is intended for mobile-first African commerce, affiliates may be permitted to promote through channels such as WhatsApp, Telegram, Instagram, TikTok, Facebook, X, YouTube, blogs, and community groups, but only if such promotion:
Kinu may impose channel-specific restrictions at any time.
All content you publish, distribute, or use in connection with Kinu must be lawful and must not contain or promote:
Kinu or the vendor may provide you with approved brand assets, creatives, copy, logos, screenshots, videos, banners, or other materials (“Vendor Materials”).
You may use Vendor Materials only:
You must not alter Vendor Materials in a misleading way, remove disclaimers, create confusing derivative branding, register confusingly similar domain names or handles, or imply sponsorship, endorsement, employment, or partnership that does not exist.
All rights in Kinu branding and Vendor Materials remain with Kinu or the relevant vendor or licensor.
You retain ownership of the content you create and lawfully upload to Kinu, such as your profile information, channel information, support submissions, and promotional creatives you independently create (“Affiliate Content”).
You grant Kinu a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, review, display, analyze, and use Affiliate Content to:
You represent and warrant that your Affiliate Content is accurate, lawful, non-infringing, and that you have all rights necessary to use it.
You must comply with all applicable data protection and privacy laws in relation to any personal data you collect, receive, use, disclose, or process in connection with affiliate activity.
Without limiting the above:
Where you independently collect leads or customer data before redirecting users to Kinu, you act as an independent controller for that data unless Kinu expressly agrees otherwise in writing.
Kinu may require identity verification, business verification, beneficial ownership information, source-of-funds information, source-of-traffic information, sanctions screening, enhanced due diligence, or other compliance information before onboarding you, approving campaigns, or releasing payouts.
You must not:
Kinu may suspend your account, hold your balance, refuse payout, reverse transactions, or report suspicious activity where legally required or reasonably necessary.
If a customer complaint, chargeback, refund request, fraud alert, vendor complaint, or regulatory issue arises in connection with your traffic or promotion, you must cooperate fully and promptly with Kinu.
Kinu may request:
Failure to cooperate may result in suspension, reversal of commissions, or termination.
Kinu may suspend, restrict, or terminate your affiliate account, campaign approvals, tracking access, or payout rights immediately where:
You may stop participating at any time by ceasing promotion and closing your account, but termination does not remove liability for prior breaches, reversals, clawbacks, or ongoing investigations.
Upon suspension or termination:
You must keep confidential any non-public information obtained through Kinu or from vendors, including campaign economics, conversion data, payout data, customer information, internal policies, fraud rules, and technical or commercial information.
You must not use confidential information except as necessary for lawful participation in the affiliate program.
This clause survives termination.
Kinu provides the affiliate program on an “as is” and “as available” basis to the maximum extent permitted by law.
Kinu does not guarantee:
To the maximum extent permitted by law, Kinu shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or reputation arising out of or related to these Affiliate Terms or your participation in the affiliate program.
To the maximum extent permitted by law, Kinu’s aggregate liability to you in connection with these Affiliate Terms shall not exceed the greater of:
Nothing in these Affiliate Terms excludes liability that cannot lawfully be excluded.
You agree to indemnify and hold harmless Kinu, its affiliates, directors, officers, employees, service providers, vendors, and agents from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:
Kinu may set off any indemnity amount against sums otherwise payable to you.
Kinu may amend these Affiliate Terms from time to time. Where changes are material, Kinu will give notice by email, dashboard notification, or other reasonable electronic method.
The amended terms take effect on the date stated in the notice. Continued participation after that date constitutes acceptance of the amended terms.
These Affiliate Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.
Before starting formal proceedings, a party must first send written notice of the dispute and allow at least 14 days for good-faith resolution.
If the dispute is not resolved, it shall be referred to arbitration in Dar es Salaam, Tanzania, before a single arbitrator unless the complexity or amount in dispute reasonably requires three arbitrators.
The language of arbitration shall be English.
Nothing prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
If any provision of these Affiliate Terms is held invalid or unenforceable, the remainder remains in full force.
No failure or delay by Kinu to enforce any right is a waiver.
You may not assign your rights or obligations under these Affiliate Terms without Kinu’s prior written consent. Kinu may assign these Affiliate Terms in connection with restructuring, financing, merger, acquisition, or business transfer.
These Affiliate Terms, together with the Kinu Terms of Use and incorporated policies, constitute the entire agreement between you and Kinu regarding your participation as an affiliate.
