Licenses Terms

These Licence Terms govern the use of digital products made available through the Kinu platform and apply to any product marked as Free Download, Standard (Regular) Licence, or Premium (Extended) Licence.

These Licence Terms form part of the Kinu Terms of Use, Vendor Terms, Refunds and Chargebacks Policy, and any product-specific terms displayed on the relevant product page or checkout page.

By downloading, purchasing, accessing, or using a product through Kinu, the customer agrees to these Licence Terms.

1. Relationship of the Parties

Unless expressly stated otherwise on the product page, the relevant vendor is the licensor of the product and remains the owner or authorized licensor of the intellectual property rights in that product.

Kinu acts as the platform facilitating listing, checkout, attribution, and related services. Kinu does not, merely by hosting or processing a transaction, become the owner of the product or grant ownership of copyright to the customer.

2. What the Customer Receives

A purchase or download through Kinu gives the customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the product strictly in accordance with:

  • the licence tier selected or displayed for that product;
  • these Licence Terms; and
  • any narrower or product-specific conditions shown on the product page, checkout page, download page, or accompanying documentation.

For clarity, a product is licensed, not sold, except to the extent mandatory law provides otherwise.

3. Definitions

For these Licence Terms:

“Product” means any digital asset, file, template, software, course material, prompt, design, media file, document, dataset, graphic, audio, video, code, or other digital content made available through Kinu.

“Source File” means the original or editable file, including layered, open, raw, uncompiled, or otherwise reusable files.

“End Product” means a final work, campaign, deliverable, publication, site, app, presentation, or other output created by the customer using the Product, where the Product has been incorporated into something larger and is not merely redistributed as a substitute for the original Product.

“Commercial Use” means use primarily intended for commercial advantage, client service, revenue generation, advertising, promotion, sale, monetization, or business operations.

“Personal Use” means private, internal, learning, evaluation, or non-commercial use that is not primarily connected to business revenue, client work, or commercial exploitation.

4. General Rules Applying to All Licence Types

Unless a product page expressly grants broader rights, the following rules apply to all licence types:

4.1 Ownership

All copyright, moral rights, trademark rights, database rights, and other intellectual property rights in the Product remain with the vendor or its licensors.

4.2 No Transfer of Ownership

The customer does not acquire ownership of the Product, Source File, or underlying intellectual property.

4.3 No Standalone Redistribution

The customer must not sell, resell, share, sublicense, gift, redistribute, upload, publish, or otherwise make the Product or Source File available on a standalone basis, whether for free or for payment.

4.4 No Marketplace Relicensing

The customer must not include the Product or Source File in any marketplace, stock library, template shop, SaaS library, AI training bundle, prompt pack, code repository, plugin repository, or similar service where third parties can access, download, extract, reuse, or redistribute the Product.

4.5 No Unlawful or Deceptive Use

The customer must not use the Product in a way that is unlawful, defamatory, fraudulent, misleading, infringing, hateful, pornographic, or otherwise prohibited by law or Kinu policy.

4.6 No False Claim of Authorship or Ownership

The customer must not claim that the Product, in whole or in substantial part, was originally created by the customer, except to the extent the customer has lawfully and substantially transformed it into a distinct End Product.

4.7 No Trademark or Exclusive Brand Claim

Unless the product page expressly states otherwise in writing, the customer may not use the Product as a logo, trademark, service mark, trade name, or other exclusive brand identifier, and may not register any intellectual property right in the Product itself or in a substantially similar version of it.

4.8 Product-Specific Overrides

If a product page, custom licence rider, or separate written licence grants narrower or more specific rights, that product-specific term will prevail over these general Licence Terms to the extent of the inconsistency.

5. Free Download Licence

A Product marked Free Download is licensed on the following terms unless the product page expressly states otherwise:

5.1 Permitted Use

The customer may:

  • download and access the Product for personal use;
  • test, review, evaluate, learn from, or preview the Product;
  • use the Product internally for mockups, drafts, trials, or concept development; and
  • make reasonable backup copies for lawful internal use.

5.2 Prohibited Use

The customer may not, under the Free Download Licence:

  • use the Product in a live commercial project;
  • use the Product in client work;
  • use the Product in paid advertising, paid publications, or paid digital products;
  • distribute the Product publicly;
  • include the Product in any product, service, campaign, or deliverable offered for sale or monetization; or
  • sublicense, transfer, or share the Product with another person.

5.3 Nature of Free Licence

A Free Download Licence is intended for evaluation, familiarization, demonstration, or limited personal use only. It does not authorize commercial exploitation unless the product page expressly says so.

6. Standard (Regular) Licence

A Product marked Standard or Regular Licence is licensed on the following terms unless the product page expressly states otherwise:

6.1 Permitted Use

The customer may:

  • use the Product for personal use or commercial use;
  • modify, adapt, crop, arrange, translate, combine, or otherwise customize the Product;
  • use the Product in one End Product for the customer’s own business or for one named client;
  • use the Product in one website, one app, one campaign, one course, one document, one brand project, or one equivalent End Product;
  • use the Product in social media content, digital marketing materials, email campaigns, presentations, websites, landing pages, and internal business materials, provided the Product is incorporated into an End Product and not made available as a standalone file; and
  • use the Product in a single commercial launch or offering where the Product is embedded and not extractable by end users.

6.2 Key Restrictions

Under the Standard Licence, the customer may not:

  • use the Product across multiple separate commercial End Products, multiple brands, or multiple clients;
  • use the Product in print-on-demand merchandise, resale merchandise, or merchandise lines intended for repeated commercial exploitation, unless the product page expressly allows it;
  • include the Product in a template, theme, builder kit, prompt pack, stock item, or resale-ready asset;
  • allow end users to extract or reuse the Product separately from the End Product;
  • use one Standard Licence for a team, agency, or multiple users unless the product page states it is multi-seat; or
  • use the Product in a way where the primary value of the End Product is the Product itself rather than the customer’s added work, design, editorial judgment, customization, or other material contribution.

6.3 Client Transfer

Where the Standard Licence is used for one client project, the customer may transfer the final End Product to that one client, but may not transfer the underlying Source File or allow the client to reuse the Product beyond that one End Product unless the client obtains its own licence.

7. Premium (Extended) Licence

A Product marked Premium or Extended Licence is licensed on the following terms unless the product page expressly states otherwise:

7.1 Permitted Use

The customer may:

  • use the Product for personal use or broader commercial use;
  • modify and adapt the Product;
  • use the Product in multiple commercial End Products;
  • use the Product across multiple campaigns, launches, channels, or client projects;
  • use the Product in client work and transfer the resulting End Product to clients;
  • use the Product in monetized websites, apps, memberships, courses, media, and digital offerings where the Product is materially incorporated into a larger End Product; and
  • use the Product in products or services distributed to end users, provided the Product is not distributed in standalone form and cannot be extracted, reused, or relicensed by end users as a substitute for the original Product.

7.2 Premium Licence Still Has Limits

Even under a Premium Licence, the customer may not:

  • resell the Product or Source File as a standalone file;
  • repackage the Product as stock content, a template product, or a competing downloadable asset;
  • include the Product in a product whose main value is the Product itself with little or no material transformation;
  • grant sub-licences to third parties to use the Product independently;
  • upload the Source File to shared drives, AI libraries, code libraries, or repositories where unauthorized third parties can access it; or
  • claim exclusive ownership in the underlying Product unless exclusivity has been separately agreed in writing.

7.3 Wider Distribution

The Premium Licence is intended to cover broader commercial deployment and broader monetized use than the Standard Licence. It does not automatically create exclusivity, assignment of copyright, or an unrestricted right to redistribute the Product in source or stock form.

8. Software, Code, Fonts, Audio, Datasets, AI Assets, and Other Special Categories

Because some digital products require special treatment, the following apply:

  • if the Product is software, code, a plugin, theme, API asset, or script, any product-specific end-user licence terms, open-source notices, seat limits, domain limits, or deployment restrictions will also apply;
  • if the Product includes fonts, audio, stock footage, datasets, AI prompts, AI outputs, or third-party components, the customer must comply with any third-party restrictions disclosed with the Product;
  • if the Product includes open-source components, those components remain subject to the applicable open-source licence; and
  • if there is a conflict between these Licence Terms and a specific product rider lawfully disclosed before purchase, the specific rider prevails.

9. Attribution

Attribution is not required unless:

  • the product page states that attribution is required; or
  • applicable law or a third-party licence embedded in the Product requires attribution.

Where attribution is required, the customer must comply with the attribution format stated on the product page or accompanying documentation.

10. Seat and User Limits

Unless a product page expressly states otherwise:

  • each licence is for one natural person or one legal entity acting through one primary user;
  • a team, agency, or organization must obtain additional seats or licences if multiple persons need direct access to the Source File; and
  • sharing a Source File across multiple unrelated persons without the required licence is prohibited.

11. Refunds, Chargebacks, and Licence Termination

If a purchase is refunded, reversed, cancelled, or charged back, the related licence terminates automatically unless the vendor or Kinu confirms otherwise in writing.

Upon termination of a licence, the customer must:

  • stop using the Product to the extent the licence is no longer valid;
  • delete or destroy unlawful or unlicensed copies of the Source File; and
  • cease any use that depends on the terminated licence, except to the extent mandatory law requires otherwise.

12. Breach and Revocation

A licence may be suspended or revoked if:

  • the customer breaches these Licence Terms;
  • the customer uses the Product in a prohibited way;
  • the purchase was fraudulent or unauthorized;
  • the Product was obtained through account abuse, chargeback abuse, or circumvention; or
  • the customer infringes the vendor’s or a third party’s intellectual property rights.

Revocation does not limit any other legal remedy available to the vendor or Kinu.

13. Vendor Warranties and Platform Position

Unless expressly stated otherwise on the product page:

  • the vendor warrants that it has the right to license the Product through Kinu;
  • Kinu does not independently guarantee that every Product is fit for the customer’s intended purpose; and
  • Kinu does not grant any warranty of exclusivity, merchantability, fitness for a particular purpose, or non-infringement beyond what cannot lawfully be excluded.

14. Customer Responsibility

The customer is responsible for checking, before purchase or download:

  • the licence type;
  • whether commercial use is allowed;
  • whether client use is allowed;
  • whether multi-seat use is allowed;
  • whether the Product contains third-party restrictions;
  • whether attribution is required; and
  • whether any product-specific rider changes the default licence terms.

15. Product-Specific Licence Riders

A vendor may publish product-specific licence riders for certain categories such as:

  • software and code;
  • templates and themes;
  • datasets;
  • music and sound effects;
  • video and stock footage;
  • AI prompts and prompt packs;
  • educational products; and
  • white-label or reseller products.

Any such rider must be disclosed clearly before purchase or download and will prevail over these default Licence Terms to the extent of the stated variation.

16. Governing Framework

These Licence Terms are to be read as part of the Kinu contract framework. Questions of payment, refunds, data protection, consumer complaints, liability, dispute resolution, and platform enforcement are governed by the broader Kinu Terms of Use and related policies unless a product-specific licence expressly provides additional rules.

17. Contact and Infringement Complaints

Questions or complaints concerning use of a Product, misuse of a licence, or infringement of intellectual property may be sent to:

Kinu may suspend access to a Product, remove listings, or investigate misuse where there is a complaint concerning copyright, licence abuse, or unlawful redistribution.
