These Licence Terms govern the use of digital products made available through the Kinu platform and apply to any product marked as Free Download, Standard (Regular) Licence, or Premium (Extended) Licence.
These Licence Terms form part of the Kinu Terms of Use, Vendor Terms, Refunds and Chargebacks Policy, and any product-specific terms displayed on the relevant product page or checkout page.
By downloading, purchasing, accessing, or using a product through Kinu, the customer agrees to these Licence Terms.
Unless expressly stated otherwise on the product page, the relevant vendor is the licensor of the product and remains the owner or authorized licensor of the intellectual property rights in that product.
Kinu acts as the platform facilitating listing, checkout, attribution, and related services. Kinu does not, merely by hosting or processing a transaction, become the owner of the product or grant ownership of copyright to the customer.
A purchase or download through Kinu gives the customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the product strictly in accordance with:
For clarity, a product is licensed, not sold, except to the extent mandatory law provides otherwise.
For these Licence Terms:
“Product” means any digital asset, file, template, software, course material, prompt, design, media file, document, dataset, graphic, audio, video, code, or other digital content made available through Kinu.
“Source File” means the original or editable file, including layered, open, raw, uncompiled, or otherwise reusable files.
“End Product” means a final work, campaign, deliverable, publication, site, app, presentation, or other output created by the customer using the Product, where the Product has been incorporated into something larger and is not merely redistributed as a substitute for the original Product.
“Commercial Use” means use primarily intended for commercial advantage, client service, revenue generation, advertising, promotion, sale, monetization, or business operations.
“Personal Use” means private, internal, learning, evaluation, or non-commercial use that is not primarily connected to business revenue, client work, or commercial exploitation.
Unless a product page expressly grants broader rights, the following rules apply to all licence types:
4.1 Ownership
All copyright, moral rights, trademark rights, database rights, and other intellectual property rights in the Product remain with the vendor or its licensors.
4.2 No Transfer of Ownership
The customer does not acquire ownership of the Product, Source File, or underlying intellectual property.
4.3 No Standalone Redistribution
The customer must not sell, resell, share, sublicense, gift, redistribute, upload, publish, or otherwise make the Product or Source File available on a standalone basis, whether for free or for payment.
4.4 No Marketplace Relicensing
The customer must not include the Product or Source File in any marketplace, stock library, template shop, SaaS library, AI training bundle, prompt pack, code repository, plugin repository, or similar service where third parties can access, download, extract, reuse, or redistribute the Product.
4.5 No Unlawful or Deceptive Use
The customer must not use the Product in a way that is unlawful, defamatory, fraudulent, misleading, infringing, hateful, pornographic, or otherwise prohibited by law or Kinu policy.
4.6 No False Claim of Authorship or Ownership
The customer must not claim that the Product, in whole or in substantial part, was originally created by the customer, except to the extent the customer has lawfully and substantially transformed it into a distinct End Product.
4.7 No Trademark or Exclusive Brand Claim
Unless the product page expressly states otherwise in writing, the customer may not use the Product as a logo, trademark, service mark, trade name, or other exclusive brand identifier, and may not register any intellectual property right in the Product itself or in a substantially similar version of it.
4.8 Product-Specific Overrides
If a product page, custom licence rider, or separate written licence grants narrower or more specific rights, that product-specific term will prevail over these general Licence Terms to the extent of the inconsistency.
A Product marked Free Download is licensed on the following terms unless the product page expressly states otherwise:

5.3 Nature of Free Licence
A Free Download Licence is intended for evaluation, familiarization, demonstration, or limited personal use only. It does not authorize commercial exploitation unless the product page expressly says so.
A Product marked Standard or Regular Licence is licensed on the following terms unless the product page expressly states otherwise:

Where the Standard Licence is used for one client project, the customer may transfer the final End Product to that one client, but may not transfer the underlying Source File or allow the client to reuse the Product beyond that one End Product unless the client obtains its own licence.
A Product marked Premium or Extended Licence is licensed on the following terms unless the product page expressly states otherwise:

Even under a Premium Licence, the customer may not:
7.3 Wider Distribution
The Premium Licence is intended to cover broader commercial deployment and broader monetized use than the Standard Licence. It does not automatically create exclusivity, assignment of copyright, or an unrestricted right to redistribute the Product in source or stock form.

Where attribution is required, the customer must comply with the attribution format stated on the product page or accompanying documentation.
Unless a product page expressly states otherwise:
If a purchase is refunded, reversed, cancelled, or charged back, the related licence terminates automatically unless the vendor or Kinu confirms otherwise in writing.

Any such rider must be disclosed clearly before purchase or download and will prevail over these default Licence Terms to the extent of the stated variation.
These Licence Terms are to be read as part of the Kinu contract framework. Questions of payment, refunds, data protection, consumer complaints, liability, dispute resolution, and platform enforcement are governed by the broader Kinu Terms of Use and related policies unless a product-specific licence expressly provides additional rules.

Kinu may suspend access to a Product, remove listings, or investigate misuse where there is a complaint concerning copyright, licence abuse, or unlawful redistribution.
